2. Description of Service

EzSocial is a social media management platform that helps you publish your own photos and videos across multiple social networks from a single dashboard. The Service includes:

AI-powered caption and text generation
Uploading and organizing your own photos and videos
Connecting your social media accounts (including TikTok, Instagram, Facebook, LinkedIn, X, and YouTube) via secure OAuth authorization
Scheduling and publishing content to your connected accounts
Tracking the status of published and scheduled posts

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

3. User Accounts

3.1 Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Immediately notify us of any unauthorized use of your account or any other breach of security
Ensure that you exit from your account at the end of each session when using a shared computer
Not share your account credentials with any third party

3.3 Age Restriction

The Service is not intended for use by individuals under the age of 18. By using the Service, you represent and warrant that you are at least 18 years of age.

4. Subscription and Billing

4.1 Free Plan

EzSocial may offer a free plan with limited features. The features and limits available may change at any time based on business needs without prior notification. We reserve the right to modify, limit, or discontinue any aspect of the free plan at our sole discretion.

4.2 Paid Subscriptions

We offer paid subscription plans that provide additional features and usage. By purchasing a paid plan, you agree to pay the fees indicated for your selection. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes.

4.3 Payment Processing

We use Stripe as our payment processor. By purchasing a paid plan, you agree to:

Provide accurate and complete payment information
Authorize us and Stripe to charge your payment method for the applicable fees
Comply with Stripe's terms of service and privacy policy

Your payment information is processed and stored by Stripe and is subject to their privacy policy and terms of service. We do not store your full payment details on our servers.

4.4 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method at the beginning of each billing period. If a payment cannot be processed, we reserve the right to suspend or terminate your access to the Service.

4.5 Refunds

5. User Content and Conduct

5.1 Your Content

You are solely responsible for the content you create, generate, schedule, or publish using our Service. You agree not to use our Service to create or publish content that:

Violates any applicable law or regulation
Infringes on the intellectual property rights of others
Contains hate speech, harassment, or threats
Is defamatory, obscene, or offensive
Promotes illegal activities, discrimination, or violence
Attempts to impersonate another person or entity
Contains malware, viruses, or other harmful code

5.2 Connected Accounts and Platform Interactions

When you connect a social media account and publish through EzSocial, you remain responsible for the content posted to that platform. You acknowledge and agree that:

You are responsible for understanding and complying with each platform's rules, including TikTok's Terms of Service, Community Guidelines, and Content Policy
You authorize EzSocial to publish the specific content you choose to post or schedule on your behalf
We have no control over how a platform or its moderators may respond to your published content
Any penalties, bans, or account restrictions imposed by a platform are your sole responsibility
You can disconnect any connected account at any time, which revokes our access

5.3 Prohibited Uses

You agree not to use the Service:

For any unlawful purpose or to solicit the performance of any illegal activity
To attempt to circumvent any limitations or restrictions placed on our Service
To interfere with or disrupt the Service or servers or networks connected to the Service
To attempt to gain unauthorized access to any portion of the Service or any accounts, computer systems, or networks connected to the Service
For "spamming" or the mass distribution of unsolicited promotional messages
In any manner that violates the terms or policies of a connected social platform

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are owned by Nomadan Apps Ltd and are protected by applicable intellectual property laws, including copyrights and trade secrets. The names, logos, and other identifiers related to the Service, such as "EzSocial," are the property of the Company and may be subject to future trademark registration. You retain ownership of the content you create using the Service.

7. Third-Party Services

7.1 Social Platform Integrations

Our Service integrates with social platforms, including TikTok, to publish content on your behalf. Your use of each platform is governed by that platform's own terms of service and content policies. We are not responsible for the content, privacy practices, or other policies of these platforms. You acknowledge and agree that we shall not be liable for any actions taken by a platform against your account, including account restrictions, suspensions, bans, content removal, or other penalties.

7.2 AI Service Integration

Our Service uses advanced AI models to generate content. You understand that AI-generated content may not always be accurate or appropriate for every situation. You are responsible for reviewing and editing any AI-generated content before publishing it. We make no representations or warranties about the accuracy, reliability, or completeness of AI-generated content.

7.3 Payment Processing

Our Service uses Stripe for payment processing. Your payment information is processed and stored by Stripe and is subject to their Terms of Service and Privacy Policy. By using our paid services, you agree to Stripe's terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOMADAN APPS LTD AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE OR ON A CONNECTED PLATFORM
ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING AI-GENERATED CONTENT
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
ANY PENALTIES, RESTRICTIONS, OR BANS IMPOSED ON YOUR CONNECTED SOCIAL ACCOUNTS
ANY BUSINESS DECISIONS OR ACTIONS YOU TAKE BASED ON INFORMATION PROVIDED BY OUR SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOMADAN APPS LTD EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NOMADAN APPS LTD MAKES NO WARRANTY THAT:

THE SERVICE WILL MEET YOUR REQUIREMENTS
THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
AI-GENERATED CONTENT WILL BE ACCURATE, APPROPRIATE, OR FREE OF ERRORS
ANY ERRORS IN THE SERVICE WILL BE CORRECTED

10. Indemnification

You agree to defend, indemnify, and hold harmless Nomadan Apps Ltd, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the Service
Your violation of any term of these Terms of Service
Your violation of any third-party right, including without limitation any copyright, property, or privacy right
Any content you created or published using our Service
Any actions taken against your connected social accounts related to your use of our Service

This defense and indemnification obligation will survive these Terms and your use of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the International Chamber of Commerce. The seat of arbitration shall be Nicosia, Cyprus. The language of the arbitration shall be English.

14. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Entire Agreement

These Terms of Service constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had regarding the Service.
